FAQ

Where can I find all current Kansas Secretary of State business forms?

Kansas organizes current business filings across the Businesses Home, Register a Business, Change/Amend a Business, and Reinstate a Business pages.

Kansas does not publish one consolidated business-entity fee sheet on those pages, and the current fee schedule appears within the active instruction packets for the specific filing being used, such as the Articles of Incorporation Domestic (Kansas) Corporation instructions and the Certificate of Amendment Change of Resident Agent and/or Registered Office instructions.

Is the registered agent consent form required to be filed with the Kansas Secretary of State?

Kansas does not publish a separate resident-agent consent form for business-entity filings.

Consent is embedded in the main filing because the formation, registration, change, reinstatement, and revival forms require the resident agent name and the Kansas registered office to be stated directly on the filing.

If an entity does not maintain an active resident agent or registered office, it may forfeit its good standing and require reinstatement or revival.

What form is used to change a registered agent in Kansas?

The form is Certificate of Amendment Change of Resident Agent and/or Registered Office.

The fee is $20 online or on paper for a not-for-profit corporation and $30 online or $35 paper for all other businesses.

Online filing is available through Change/Amend a Business, and mail or in-person filing methods are the same as described above. 785-296-4564. kssos@ks.gov.

What is the difference between the entity-filed change form and the agent-filed change form in Kansas?

Kansas does not publish a separate agent-filed form for a resident agent to change its own name or address across represented entities.

The business entity uses the Certificate of Amendment Change of Resident Agent and/or Registered Office to change the resident agent, the registered office, or both.

Kansas does publish a Certificate of Amendment Resignation of Resident Agent Without Appointing a Successor, which the resident agent or an authorized representative may file for one business or as a bulk filing for multiple businesses.

That resignation filing requires written notice to each affected business at least 30 days before filing.

Is there a fee to form a nonprofit corporation in Kansas?

Yes. The domestic filing uses Articles of Incorporation Domestic (Kansas) Corporation, and the fee is $20 online or $20 paper for a not-for-profit corporation.

The corresponding domestic for-profit corporation fee on the same form is $85 online or $90 paper.

The current form instructions do not publish a separate online convenience fee for that nonprofit filing.

What forms are used to register an out-of-state LLC in Kansas?

A foreign LLC uses Application for Registration Foreign (non-Kansas) Business.

A foreign series LLC also uses Application for Registration Foreign (non-Kansas) Business.

The filing fee is $115; the filing requires a Kansas resident agent and Kansas registered office, and overdue information reports filed after forfeiture add a one-time $85 penalty plus $110 for each required information report.

What forms are used to form or register a partnership in Kansas?

A domestic LP uses Certificate of Limited Partnership Domestic (Kansas) Limited Partnership, which creates the limited partnership and requires a Kansas resident agent and Kansas registered office, and the fee is $85 online or $90 paper.

A domestic LLP uses Statement of Qualification Domestic (Kansas) Limited Liability Partnership, which registers limited-liability status for an existing partnership rather than creating the partnership itself, and the fee is $90 paper.

A general partnership may file a Statement of Partnership Authority General Partnership, which is optional and does not require a Kansas resident agent, and the fee is $35 paper.

A foreign LP or foreign LLP uses Application for Registration Foreign (non-Kansas) Business, and the fee is $115, plus a one-time $85 penalty and $110 for each required information report if overdue reports accompany the filing.

The current Kansas forms do not publish a separate LLLP formation or registration form, and they do not state a dual-filing requirement for a foreign LLLP on a separate state-issued form.

Can I file Kansas SOS forms online?

Kansas provides online filing through Register a Business, Change/Amend a Business, and Information Reports.

The current form packets show online availability for domestic LLC formations, domestic for-profit and not-for-profit corporation formations, domestic LP formations, resident-agent or registered-office changes, and information reports.
